GENERAL TERMS AND CONDITIONS OF SALE

Preamble

These General Terms and Conditions of Sale (hereinafter the "GTC") govern all sales concluded between the company AR-Top SRL and any customer, whether an individual or a professional, making a purchase on the website www.trophystand.eu.

These GTC are established in accordance with Belgian law, in particular Book VI of the Code of Economic Law, Regulation (EU) 2016/679 (GDPR), Directive 2011/83/EU on consumer rights, as well as any European regulations applicable to electronic commerce.

Their purpose is to define the rights and obligations of the parties in the context of the distance sale of physical products marketed by AR-Top SRL.

Any order implies full and unreserved acceptance of these GTC.

Article 2 – Definitions

For the purposes of these GTC, the terms below shall have the following meanings:

Customer

Any natural or legal person placing an order on the Site.

Consumer

Any natural person acting for purposes which are outside their professional activity.

Professional

Any natural or legal person acting within the scope of their economic activity.

Site

The website accessible at the address www.trophystand.eu

Product

Any material good offered for sale on the Site.

Order

Any purchase request validated by the Customer in accordance with the process described on the Site.

Article 3 – Scope of Application These

General Terms and Conditions apply to all sales made via the site www.trophystand.eu.

They concern sales:

• to individuals (B2C);

• to businesses (B2B);

• in Belgium;

• in the Member States of the European Union;

• in the United Kingdom.

Any general condition of the Customer incompatible with these GTC is expressly excluded, unless prior written acceptance by AR-Top SRL.

Article 4 – Acceptance of these Terms

Before the final validation of their order, the Customer acknowledges having read these General Terms and Conditions of Sale.

Validation of the order constitutes unreserved acceptance of these GTC.

The Customer acknowledges having the legal capacity necessary to conclude a sales contract.

AR-Top SRL reserves the right to modify these General Terms and Conditions at any time.

The applicable Terms are those in force at the time of order validation.

Article 5 – Products offered

AR-Top SRL markets physical products intended for individuals and professionals.

Products are described with the greatest possible accuracy.

Photographs, illustrations, videos, graphic representations, and descriptions appearing on the Site are provided for illustrative purposes and are not contractual in nature.

Slight differences in color, texture, finish, or dimensions resulting from manufacturing processes, screen displays, or industrial tolerances cannot be considered as lack of conformity.

Products are offered subject to availability.

In case of unavailability after validation of an order, AR-Top SRL will inform the Customer as soon as possible and will propose, as appropriate:

• an additional period;

• an equivalent product;

• or a full refund of the sums paid.

AR-Top SRL reserves the right to modify its catalog, technical characteristics, and commercial offer at any time, without these modifications affecting orders already accepted.

Article 6 – Price

6.1. Product prices are indicated in euros (€).

6.2. Unless otherwise stated, the prices displayed on the Site include value added tax (VAT) applicable in accordance with current legislation.

6.3. For sales made in Belgium, Belgian VAT is applied at the legal rate in force.

6.4. For sales made in other Member States of the European Union or in the United Kingdom, VAT is applied in accordance with the tax rules applicable at the time of the order, particularly regarding electronic commerce and distance sales.

6.5. Delivery, insurance, customs, import costs, or any other possible taxes are indicated before the final validation of the order when they are known.

6.6. AR-Top SRL reserves the right to modify its prices at any time. However, Products are invoiced based on the rates in force at the time of order validation.

6.7. A manifest error in price resulting from a technical malfunction, a material or computer error does not bind AR-Top SRL. In such a case, the Customer will be informed as soon as possible and may confirm their order at the corrected price or cancel it without charge.

Article 7 – Taxes and VAT

7.1. Sales are subject to Belgian and European tax regulations.

7.2. Sales made to professionals with a valid intra-community VAT number may be invoiced in accordance with the rules applicable to intra-community deliveries, subject to legal conditions.

7.3. Any customs duties, local taxes, import costs, or other levies payable upon importation of the Products into a country outside the European Union remain the exclusive responsibility of the Customer.

7.4. For shipments to the United Kingdom, the Customer acknowledges that customs or tax formalities may be imposed by the British authorities. Unless expressly stated otherwise, these costs remain their responsibility.

Article 8 – Orders

8.1. Orders are exclusively placed via the Website www.trophystand.eu.

8.2. The ordering process includes in particular:

• selection of Products;

• validation of the basket;

• entry of contact details;

• choice of delivery method;

• choice of payment method;

• final confirmation of the order.

8.3. Before final validation, the Customer can check the details of their order, correct any errors, and modify their basket.

8.4. Once the order is validated, it becomes firm and final subject to the rights recognized to the consumer by these GTC.

8.5. AR-Top SRL sends the Customer an acknowledgment of receipt by email containing the details of the order.

8.6. AR-Top SRL reserves the right to request additional information when it appears necessary to prevent fraud, identity theft, or misuse of payment methods.

Article 9 – Formation of the contract

9.1. The sales contract is deemed concluded at the moment AR-Top SRL confirms acceptance of the order.

9.2. The simple receipt of an order does not constitute automatic acceptance.

9.3. AR-Top SRL may refuse an order, notably in the following cases: •

unavailability of Products;

• manifest price error;

• suspected fraud;

• obviously incorrect contact details;

• refused payment;

• prior dispute with the Customer;

• force majeure.

9.4. In case of refusal, any sums received will be refunded as soon as possible.

Article 10 – Payment

10.1. Payment is due immediately upon ordering, unless otherwise agreed.

10.2. Accepted payment methods include:

• bank cards;

• bank transfers;

• any payment solution offered on the Site.

10.3. Electronic payments are secured by technical service providers selected by AR-Top SRL.

10.4. Transfers must be made to the following account:

10.5. Products remain the property of AR-Top SRL until full payment of the price, taxes, and any ancillary costs.

10.6. Any attempt at fraud or illicit payment may result in the immediate cancellation of the order without prejudice to any legal action.

Article 11 – Default of Payment

11.1. In case of refusal of payment by a financial institution, AR-Top SRL may suspend or cancel the order.

11.2. Costs generated by a refused, contested, or unpaid payment may be claimed from the Customer in accordance with applicable law.

11.3. In case of fraud, misuse, or reasonable suspicion of fraud, AR-Top SRL may suspend any delivery until the situation is verified.

11.4. Relevant data may be communicated to the competent authorities when authorized or required by law.

Article 12 – Invoicing

12.1. An invoice is issued for each order.

12.2. The invoice is sent in electronic format to the email address provided by the Customer, unless otherwise requested where legislation permits.

12.3. The Customer is responsible for the accuracy of the billing information provided during the order.

12.4. Any request for rectification of an invoice must be submitted within a reasonable time after its receipt.

Article 13 – Delivery

13.1. Products are delivered to the address indicated by the Customer during the order.

13.2. AR-Top SRL provides deliveries in Belgium, in the Member States of the European Union, as well as in the United Kingdom, subject to any restrictions applicable to certain territories.

13.3. Deliveries are mainly carried out by GLS or by any other carrier offering an equivalent level of service when circumstances require.

13.4. The Customer is solely responsible for the accuracy of the information provided during the order. Any error or omission likely to lead to an impossibility of delivery, a delay, or additional costs may be charged to them.

13.5. When delivery cannot be made due to an incomplete or incorrect address, repeated absence of the recipient, or any other cause attributable to the Customer, costs related to a new shipment may be invoiced.

13.6. Risks related to transport are transferred in accordance with the provisions of Article 16 of these GTC.

13.7. For shipments to countries located outside the European Union, notably the United Kingdom, the Customer is responsible for compliance with the import formalities incumbent upon them as well as the payment of customs duties, taxes, and other costs possibly required by local authorities, unless otherwise mentioned on the Site.

Article 14 – Delivery Times

14.1. Delivery times indicated on the Site are provided for information purposes and correspond to the time normally observed at the time of the order.

14.2. Unless otherwise agreed, AR-Top SRL endeavors to ship orders as soon as possible after confirmation of payment.

14.3. Transport times may vary depending on the destination country, customs formalities, periods of high activity, public holidays, or any event beyond the control of AR-Top SRL.

14.4. A reasonable delay in delivery cannot give rise to the automatic cancellation of the order nor to the payment of damages, except in cases provided for by applicable legislation.

14.5. If AR-Top SRL is unable to deliver the Product within a reasonable time, the Customer will be informed as soon as possible and may, in accordance with the law, agree on a new time or request the cancellation of the order with a refund of the sums paid.

Article 15 – Receipt of Goods

15.1. Upon delivery, the Customer is required to check the apparent condition of the packaging and the Products.

15.2. Any anomaly observed, notably damaged package, open packaging, missing or deteriorated Product, must be reported immediately to the carrier and notified to AR-Top SRL as soon as possible, accompanied by photographs where possible.

15.3. Signing a delivery note without reservation is likely to limit the Customer's recourse against the carrier.

15.4. Claims relating to damage occurring during transport must be made within a reasonable time after delivery to allow AR-Top SRL to exercise, if necessary, its recourse against the carrier.

15.5. The provisions of this article do not affect the rights enjoyed by the consumer under the legal guarantee.

Article 16 – Transfer of Risks and Retention of Title

16.1. For consumers, the risk of loss or damage to the Products is transferred at the moment the Customer, or a third party designated by them other than the carrier, takes physical possession of the Products.

16.2. For professional customers, the transfer of risks occurs at the time of delivery of the Products to the carrier, unless otherwise agreed in writing.

16.3. Products remain the exclusive property of AR-Top SRL until full payment of the price, taxes, ancillary costs, and any interest.

16.4. In case of total or partial non-payment, AR-Top SRL reserves the right to reclaim the Products in accordance with applicable legislation.

Article 17 – Right of Withdrawal

17.1. In accordance with the provisions of the Belgian Code of Economic Law and Directive 2011/83/EU, the consumer has a period of fourteen (14) calendar days from receipt of the Products to exercise their right of withdrawal without having to justify their decision.

17.2. The right of withdrawal is exercised by an unambiguous statement addressed to AR-Top SRL or by means of the European withdrawal form made available on the Site.

17.3. The Customer must return the Products within a maximum of fourteen (14) days following the communication of their decision to withdraw.

17.4. Products must be returned complete, clean, in their original condition and, as far as possible, in their original packaging, accompanied by all accessories and any documents.

17.5. The Customer is only responsible for the depreciation of the Products resulting from handling other than that necessary to establish their nature, characteristics, and proper functioning.

17.6. The right of withdrawal does not apply to cases expressly excluded by current legislation.

Article 18 – Returns

18.1. Returns must be previously reported to AR-Top SRL's customer service.

18.2. Products must be shipped to the address provided by AR-Top SRL in the return instructions.

18.3. Except in the case of a defective, non-compliant Product or an error attributable to AR-Top SRL, return costs are the responsibility of the Customer.

18.4. Any Product returned incomplete, damaged, used beyond what is necessary to assess its characteristics, or unfit for resale may be subject to a reduction in the refund in accordance with applicable legislation.

18.5. Returns made without sufficient identification or without an order reference may lead to longer processing times.

Article 19 – Refunds

19.1. In case of valid exercise of the right of withdrawal, AR-Top SRL refunds the Customer all sums paid for the Products concerned, including the initial delivery costs corresponding to the standard delivery method offered during the order.

19.2. Additional costs resulting from the choice of a delivery method more expensive than standard delivery are not refunded.

19.3. The refund is made within a maximum of fourteen (14) days from receipt of the withdrawal request.

19.4. AR-Top SRL may defer the refund until the actual recovery of the Products or until receipt of proof of shipment provided by the Customer, the date retained being that of the first of these facts.

19.5. The refund is made using the same payment method as that used during the order, unless the Customer expressly agrees to another refund method.

19.6. When a return results from a lack of conformity, a shipping error, or a defective Product attributable to AR-Top SRL, reasonable return costs are borne by the company in accordance with legal provisions.

Article 20 – Legal Guarantee of Conformity

20.1. Consumers benefit from the legal guarantee of conformity provided by the Belgian Code of Economic Law for a period of two (2) years from the delivery of the Product.

20.2. In case of a lack of conformity existing at the time of delivery and appearing during the guarantee period, the Customer may request, in accordance with the law, the repair or replacement of the Product. If these solutions prove impossible or disproportionate, a price reduction or the termination of the sale may be considered in accordance with legal provisions.

20.3. The legal guarantee does not cover damage resulting in particular from:

• misuse;

• incorrect assembly carried out by the Customer;

• lack of maintenance;

• normal wear and tear;

• an accident;

• use not in accordance with the intended purpose of the Product.

20.4. The Customer undertakes to report any lack of conformity within a reasonable time after its discovery.

Article 21 – Guarantee against hidden defects

In accordance with the provisions of the Belgian Civil Code, AR-Top SRL is liable for hidden defects affecting the Products within the limits provided by applicable legislation.

The Customer is invited to describe precisely the problem encountered and, when relevant, to attach photographs of the Product concerned to facilitate the processing of their request.

Article 23 – Liability

23.1. AR-Top SRL is bound by an obligation of means in the execution of its contractual obligations.

23.2. AR-Top SRL's liability cannot be engaged when the non-performance or poor performance results in particular from:

• a case of force majeure;

• an act attributable to the Customer;

• an unpredictable and insurmountable act of a third party.

23.3. Photographs, descriptions, illustrations, dimensions, and information appearing on the Site are provided with the greatest care. Slight differences in presentation, color, texture, finish, or dimensions related to manufacturing processes or screen settings do not constitute a lack of conformity.

23.4. In no case can AR-Top SRL be held liable for indirect damages, notably loss of turnover, profits, operation, data, or customers, except in case of gross negligence, willful misconduct, or where prohibited by law.

23.5. No provision of these GTC has the effect of limiting or excluding AR-Top SRL's liability when such a limitation is prohibited by a mandatory provision of applicable law.

Article 24 – Force Majeure

AR-Top SRL cannot be held liable for any delay or non-performance resulting from an event beyond its control, notably:

• natural disaster;

• fire;

• pandemic;

• war;

• strike;

• interruption of telecommunication networks;

• failure of an essential supplier;

• transport blockage;

• decision of a public authority.

During the duration of the force majeure event, the obligations concerned are suspended.

Article 25 – Intellectual Property

All content present on the Site, notably texts, photographs, illustrations, logos, brands, videos, databases, graphics, and technical elements are protected by intellectual property rights.

Any reproduction, adaptation, distribution, translation, extraction, or exploitation, total or partial, without prior written authorization from AR-Top SRL is prohibited.

Trademarks and trade names remain the exclusive property of their holders.

Article 26 – Personal Data

Personal data are processed in accordance with Regulation (EU) 2016/679 (GDPR) as well as applicable Belgian legislation.

Detailed procedures for data processing are described in the Privacy Policy available on the Site.

The Customer has, in particular, the rights of access, rectification, erasure, limitation, opposition, portability, and the right to lodge a complaint with the Data Protection Authority.

Article 27 – Cookies

The Site uses cookies necessary for its operation as well as, where applicable, cookies intended to improve the user experience or to produce traffic statistics. The procedures for managing cookies are described in the Cookie Policy.

Article 28 – Hypertext Links

The Site may contain links to third-party websites.

AR-Top SRL cannot be held liable for the content, products, services, or practices of these third-party sites, over which it exercises no control.

Article 29 – Partial Nullity

If one or more provisions of these GTC were to be declared null, illegal, or inapplicable, the other provisions would retain their full validity.

The parties undertake to replace any provision that has become invalid with an economically and legally equivalent clause.

Article 30 – Waiver

The fact that AR-Top SRL does not invoke, at a given time, a provision of these GTC cannot be interpreted as a waiver of the right to invoke it later.

Article 31 – Modification of the GTC

AR-Top SRL may modify these General Terms and Conditions of Sale at any time. The new provisions apply only to orders placed after their entry into force.

Article 32 – Amicable Settlement of Disputes

Before any legal proceedings, the parties will endeavor to seek an amicable solution.

Consumers in the European Union can also use out-of-court dispute resolution mechanisms when these are available in accordance with applicable legislation.

Article 33 – Applicable Law and Competent Jurisdiction

These General Terms and Conditions of Sale are governed by Belgian law. For consumers, the mandatory rules of jurisdiction provided by applicable legislation remain fully applicable. For disputes between AR-Top SRL and a professional customer (B2B), the courts of the judicial district of Walloon Brabant are exclusively competent, unless otherwise provided by mandatory legal provision.

Article 34 – Entry into Force

These General Terms and Conditions of Sale enter into force as of their date of publication on the Website www.trophystand.eu.

They remain applicable until their replacement by a new version.
